Terms of Service

Effective October 12, 2026.

1. Agreement and provider

These Terms of Service ("Terms") govern access to LabRuns: its website, statistical software, study guides, calculations, exports and reports (the "Service"). Berberian Labs LLC ("we", "us" or "our") is the provider and contracting party. "You" means the person using the Service and any laboratory or organization they act for.

Accepting these Terms during sign-in creates this agreement with Berberian Labs LLC. You must be at least 18 and legally able to enter the agreement. If you act for an organization, you represent that you have authority to bind it. You must accept these Terms to use the Service with an account. The Privacy Policy explains how we handle information.

2. Statistical software

LabRuns is statistical software for laboratory method-evaluation studies. It helps laboratory professionals plan studies, enter or import measurements, apply documented statistical methods, compare results with selected acceptance criteria and prepare reports, using the data and settings they supply.

The Service does not diagnose, treat or monitor individual patients, make patient-specific clinical recommendations or authorize a method or instrument for patient testing, and it gives no medical, clinical, regulatory or legal advice.

"Met" means the calculated result satisfies the acceptance rule applied to the study's saved data and settings. A Met result does not certify a method or establish its clinical suitability, accreditation or regulatory approval. Our published calculation evidence shows how the software calculates; validating your laboratory's method remains your laboratory's work.

3. Laboratory responsibilities

You and your laboratory are responsible for how each study is designed and carried out: the specimens and materials, assigned values, units, data quality, exclusions, statistical assumptions and acceptance criteria. Choose an analysis that suits the question, and review the saved data, estimates, confidence intervals, decisions and report before you rely on them or share them.

Your laboratory makes the final decision on whether a method, instrument, reagent lot or procedure is acceptable. Laboratory validation and verification, professional standards, legal requirements and any evaluation of this software that your intended use requires all stay with you. Our study guides and references help with that work and do not move any of those responsibilities to us.

4. Permitted data

Study data you use in the Service, including filenames, worksheets and report details, must be de-identified in accordance with applicable law. Patient names or initials, medical record or patient-linked accession numbers, dates of birth, addresses, contact details and other patient identifiers must remain outside the Service.

Use specimen codes that have no connection to patient identifiers. Keep code keys and any means of re-identification in your laboratory.

If patient information is submitted by mistake, move the affected study to Trash and ask an Owner or Administrator to empty Trash. Emptying Trash deletes the study's saved records, and backup copies rotate out as described in the Privacy Policy. Then email hello@labruns.com so we can confirm removal.

5. Accounts and workspace access

Use an accurate email address that you control, and use only your own account. Institution administrators assign license membership. Current members can create private workspaces and share them with selected current members of the same institution. Workspace Owners and Administrators set the invited members' roles. Joining a plan grants its features; access to a workspace requires its own permission. You are responsible for authorizing the people you invite and for reviewing their access, and a copy someone downloads is outside the Service's access controls.

6. Your data and records

You keep your rights in the data and files you submit and in the study-specific results and reports generated from them. You represent that you have the rights and authority to submit those materials. You grant us limited, nonexclusive permission to store, process, reproduce, back up and display them as needed to operate the Service for you and your authorized workspace members. This permission does not give us ownership of them.

Workspaces created under an institutional license and their saved laboratory records remain with that institution when a member leaves or deletes their personal account. A private workspace is visible to its creator and the current institutional members invited to it. Institution administrators can explicitly hand it over to another current member, recording the recipient and reason in its administrative history. An administrator's billing role alone grants no access to the study contents.

We do not sell your study data or use it for advertising. Personal information is handled as described in the Privacy Policy.

Owners and Administrators can download workspace records through Settings → Storage and records. Keep your own copies as your laboratory's record-retention requirements demand. Service backups exist so we can recover the Service, and your laboratory remains responsible for its own records.

7. Permission to use the software

While you comply with these Terms, we permit you to access the Service for your lawful laboratory, professional, educational or research work. You may download and use your study results and reports. We and our licensors retain rights in the software, website, documentation and other Service materials. Access does not transfer ownership of those materials or grant permission to use our branding. Any separately supplied open-source component remains subject to its own license.

8. Acceptable use

Use the Service in accordance with applicable law, others' rights and the permitted data terms, and access only the accounts and workspaces you are authorized to use. You must not submit malicious files; bypass access controls or usage limits; attack, disrupt or overload the Service; conduct security testing without written permission; or resell access without our written permission.

9. Plans and fees

An institution's first workspace starts a free week: for seven days its workspaces share an allowance of three new studies in any 24 hours. One Laboratory subscription covers every current institutional member and the workspaces they create under that license. After the free week, saving requires the institution's plan; without it you can still open, read, download and export what you saved. Current prices are on the Pricing page and are shown again at checkout, before any charge.

The Laboratory plan is billed in advance, monthly or yearly, through Stripe, our payment processor, and renews automatically until cancelled. Institution administrators can cancel through Account, and the plan continues to the end of the period already paid. Fees for a partial period are not refunded except where the law requires. Prices exclude any applicable taxes. We will email at least 30 days' notice before a price change applies to an existing subscription. If a payment fails and is not resolved, saving pauses until it is. Deleting a workspace or a member's personal account leaves the institutional subscription running.

10. Service changes and closure

We may update the software, change features or suspend access for maintenance, security or operational reasons. Before a planned permanent closure of the Service, we will give at least 30 days' notice by email so you can download your records.

11. Suspension, termination and deletion

You may stop using the Service and delete your account through Settings. We may suspend or terminate access for a material breach of these Terms, unlawful use or a threat to the Service or other users.

Before deleting an administrator's account, arrange for another institution administrator to manage access and billing. Account deletion removes the person's sign-in access, memberships and personal drafts; institutional workspaces, saved records and subscriptions remain. An institution with no reachable administrator can request verified recovery from LabRuns without the former employee's sign-in. Workspace Owners may separately delete a workspace after confirming its name. The Privacy Policy's retention section explains saved history, Trash and backup copies.

The terms on ownership, laboratory responsibilities, warranties, liability, indemnity and disputes continue to apply to conduct and claims from before termination.

12. Disclaimer of warranties

To the fullest extent the law allows, we provide the Service "as is" and "as available", without any express, implied or statutory warranty, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the software, calculations, guides or reports will be free of errors, suit every study design or meet your laboratory's clinical, accreditation or regulatory requirements. Our published calculation evidence is no promise that the Service suits your particular use.

Nothing in these Terms excludes a warranty or right that the law does not allow us to exclude.

13. Limitation of liability

To the fullest extent the law allows, Berberian Labs LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the Service or your inability to use it. That includes losses from laboratory or patient-testing decisions made in reliance on what the Service produces, whatever the legal theory and even if we were told such a loss was possible.

Our total liability for all claims arising from or relating to the Service or these Terms is limited to the greater of US $100 or the amount you paid us for the Service in the 12 months before the event that gave rise to the claim. These exclusions and limits do not apply to liability the law does not allow us to exclude or limit.

14. Third-party claims

To the extent the law allows, you will defend, indemnify and hold Berberian Labs LLC harmless against claims brought by third parties, and the reasonable costs that go with them, including legal fees, arising from your unlawful use of the Service, your material breach of these Terms, or data you submit without the necessary rights or in breach of section 4. This does not apply to the extent a claim results from our own unlawful conduct. We will tell you about a claim and cooperate reasonably in its defense. You may not settle a claim in a way that places obligations on us without our written consent.

15. Changes to these Terms

We may revise these Terms and will publish the updated text and effective date on this page. We will notify account holders by email of material changes before they take effect, unless a legal or security requirement needs an earlier change. You accept the published Terms and Privacy Policy at your first sign-in and again at your first sign-in after they change, and we record the accepted version and date. The Terms in effect when a dispute arose continue to govern that dispute.

16. Governing law and disputes

These Terms are governed by the laws of New Jersey, excluding its conflict-of-law rules. Subject to any mandatory rights under applicable law, disputes will be heard in the state or federal courts located in New Jersey, and the parties consent to those courts' jurisdiction. You may contact us at the address below to seek an informal resolution.

17. General provisions

These Terms constitute the agreement governing your use of the Service unless we enter into a separate written agreement with you. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. Neither party is the other's employee, agent or partner. These Terms do not give enforcement rights to third parties. Mandatory legal rights remain unaffected.
